1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kairos Alpha, LLC ("Kairos Alpha," "Company," "we," "us," or "our"), governing your access to and use of the Kairos Alpha website located at kairosalpha.com (the "Site"), our AI-powered trading platform, and all related services, tools, features, content, and applications (collectively, the "Services").
By accessing, browsing, or using the Site or any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accessing or using the Services on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include both the individual and the entity.
If you do not agree to all of these Terms, you must immediately cease all use of the Site and Services. Your continued use of the Services following any changes to these Terms constitutes your acceptance of such changes. Additional terms may apply to specific features or services and will be presented to you at the time of access or enrollment.
2. Description of Services
Kairos Alpha provides artificial intelligence-powered financial technology services designed for institutional and sophisticated investors. Our Services include, but are not limited to:
- AI Trading Technology: Proprietary machine learning algorithms and neural network models that analyze vast quantities of market data, alternative data, and economic indicators to identify potential alpha-generating trading signals and opportunities in real time.
- Quantitative Research: Advanced statistical analysis, backtesting frameworks, factor modeling, and quantitative research tools that enable users to develop, test, and refine trading hypotheses and strategies using historical and real-time data across multiple asset classes.
- Portfolio Optimization: Dynamic asset allocation and portfolio construction services powered by reinforcement learning and optimization algorithms that continuously rebalance portfolios to maximize risk-adjusted returns across varying market regimes and conditions.
- Execution Services: Low-latency order execution with smart order routing across multiple trading venues, designed to minimize slippage, reduce market impact, and maximize fill quality.
- Risk Management: Multi-layered risk monitoring systems with real-time portfolio analytics, dynamic position sizing, automated drawdown protection, stress testing capabilities, and scenario analysis tools.
- Performance Reporting: Comprehensive analytics dashboards, attribution analysis, and performance reporting tools for tracking portfolio performance, risk metrics, and strategy effectiveness.
The specific features, functionalities, and scope of the Services available to you may vary depending on your subscription plan, service agreement, and applicable regulatory requirements. Kairos Alpha reserves the right to modify, update, enhance, or discontinue any aspect of the Services at any time, with or without notice.
3. Eligibility
To access and use the Services, you must meet all of the following eligibility requirements:
- Age Requirement: You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater. By using the Services, you represent and warrant that you meet this age requirement.
- Organizational Authority: If you are accessing the Services on behalf of a corporation, partnership, limited liability company, fund, trust, or other legal entity, you represent and warrant that you are duly authorized to bind such entity to these Terms and that the entity has full legal power and authority to enter into and perform under these Terms.
- Accredited Investor Status: Certain Services may require that you qualify as an "accredited investor" as defined under Rule 501 of Regulation D promulgated under the Securities Act of 1933, as amended, or the equivalent classification under applicable laws in your jurisdiction. You may be required to provide documentation verifying your accredited investor status prior to accessing such Services.
- KYC/AML Compliance: You agree to comply with all applicable Know Your Customer ("KYC") and Anti-Money Laundering ("AML") requirements. You agree to provide accurate and complete identity verification documentation as requested by Kairos Alpha, including but not limited to government-issued identification, proof of address, source of funds documentation, and beneficial ownership information. Kairos Alpha reserves the right to refuse, suspend, or terminate access to the Services if you fail to satisfy KYC/AML requirements or if we have reasonable grounds to suspect involvement in money laundering, terrorist financing, fraud, or other illicit activities.
- Jurisdictional Compliance: You represent that your use of the Services does not violate any applicable laws, regulations, or sanctions in your jurisdiction. The Services are not available to residents or nationals of jurisdictions where such services are prohibited or restricted by law, nor to any person or entity listed on any government-maintained sanctions list, including without limitation the U.S. Office of Foreign Assets Control (OFAC) Specially Designated Nationals List.
Kairos Alpha reserves the right to verify your eligibility at any time and to deny or revoke access to the Services if any of the foregoing representations prove to be inaccurate, incomplete, or outdated.
4. Account Registration and Security
To access certain features of the Services, you must register for an account. When registering, you agree to:
- Accurate Information: Provide truthful, accurate, current, and complete information during the registration process and maintain and promptly update such information to keep it accurate, current, and complete at all times. Providing false, misleading, or outdated information constitutes a material breach of these Terms and may result in immediate termination of your account.
- Multi-Factor Authentication (MFA): Enable and maintain multi-factor authentication on your account as required by Kairos Alpha. MFA is mandatory for all accounts that access trading, execution, or portfolio management functionalities. You are responsible for maintaining the security of your authentication devices and backup codes.
- Account Security: Maintain the confidentiality and security of your account credentials, including your username, password, API keys, and any other authentication tokens. You must not share your credentials with any third party. You agree to immediately notify Kairos Alpha at legal@kairosalpha.com if you become aware of or suspect any unauthorized access to or use of your account.
- Responsibility for Account Activity: You are solely responsible for all activities that occur under your account, whether or not you authorized such activities. Kairos Alpha shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials or from unauthorized access to your account.
Kairos Alpha reserves the right to suspend or terminate your account at any time if we reasonably believe that your account has been compromised, that you have violated these Terms, or that continued access poses a risk to the security or integrity of the Services or other users.
5. Use of AI Trading Services
By using our AI-powered trading Services, you expressly acknowledge, understand, and agree to the following important disclaimers:
- No Guaranteed Returns: The performance of AI trading models, algorithms, strategies, and signals is inherently uncertain and subject to a wide range of market, technical, and operational factors. Kairos Alpha does not guarantee, promise, or imply any specific level of returns, profits, or performance outcomes. No representation is made that any account will or is likely to achieve profits or losses similar to any results shown or discussed.
- Past Performance Disclaimer: Past performance of any trading strategy, model, algorithm, or signal is not indicative of future results. Historical backtesting results and simulated performance data have inherent limitations, may not reflect actual trading conditions, and should not be relied upon as a predictor of future performance. Backtested results may be subject to survivorship bias, look-ahead bias, and overfitting to historical patterns.
- Substantial Risk of Loss: Trading and investing in financial markets, including through the use of AI-powered systems, involves substantial risk of loss, including the potential loss of your entire investment. You should only use the Services with capital that you can afford to lose entirely. Leveraged trading can amplify both gains and losses significantly beyond your initial capital.
- AI Limitations: Artificial intelligence and machine learning models have inherent limitations. Models may produce inaccurate predictions, fail to adapt to sudden market regime changes, experience data quality issues, suffer from overfitting to historical patterns, or encounter unforeseen technical failures. AI systems may not perform as expected during periods of extreme market volatility, black swan events, flash crashes, or unprecedented market conditions that deviate from historical training data.
- Your Responsibility: You are solely responsible for all investment and trading decisions made using the Services, whether executed manually or through automated systems. You should conduct your own independent research, analysis, and due diligence before making any investment decisions. You acknowledge that you are using the Services at your own risk and discretion, and that you have sufficient knowledge, experience, and financial sophistication to evaluate the merits and risks of AI-powered trading tools.
- Not Investment Advice: The Services, including all signals, analytics, research, recommendations, and other output generated by our AI systems, do not constitute investment advice, financial advice, trading advice, tax advice, legal advice, or any other form of professional advice. Kairos Alpha is not a registered investment adviser, broker-dealer, or financial planner. Nothing provided through the Services should be construed as a recommendation to buy, sell, or hold any security or financial instrument. You should consult with qualified financial, legal, and tax professionals before making any investment decisions.
6. Intellectual Property
All intellectual property rights in and to the Services, the Site, and all related content, materials, and technology are owned exclusively by Kairos Alpha or its licensors. This includes, without limitation:
- Proprietary trading algorithms, machine learning models, neural network architectures, and AI systems
- Quantitative research methodologies, factor models, and analytical frameworks
- Software, source code, object code, APIs, databases, and data structures
- Trademarks, service marks, logos, trade names, and brand elements including "Kairos Alpha," "Kairos," and the Kairos Alpha logo
- All documentation, training materials, user interfaces, and design elements
- Trade secrets, know-how, processes, and proprietary techniques
Subject to your compliance with these Terms and payment of all applicable fees, Kairos Alpha grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during the term of your subscription or service agreement.
You shall not, and shall not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, model weights, training data, or underlying structure of any part of the Services; (b) copy, modify, adapt, translate, or create derivative works based on the Services; (c) sublicense, lease, rent, loan, distribute, or otherwise transfer access to the Services to any third party; (d) remove, alter, or obscure any proprietary notices, labels, or markings on the Services; or (e) use the Services to build a competing product or service.
7. Data and Privacy
Your privacy is important to us. The collection, use, storage, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in our Privacy Policy.
By using the Services, you grant Kairos Alpha a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, process, aggregate, and analyze anonymized and de-identified data derived from your use of the Services for the purposes of:
- Improving, enhancing, and optimizing the performance and accuracy of our AI models, algorithms, and Services
- Conducting research and development to advance our technology and capabilities
- Generating aggregated statistical analysis, benchmarks, and industry insights
- Ensuring the security, integrity, and proper functioning of the Services
For clarity, this license applies only to anonymized and de-identified data that cannot be used to identify you or your specific trading activity. Kairos Alpha will not sell, share, or disclose your personally identifiable information or individual trading data to third parties except as described in our Privacy Policy. We employ industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security audits.
8. Fees and Payment
Access to certain Services requires payment of fees as specified in your individual service agreement, subscription plan, or order form executed between you and Kairos Alpha (the "Service Agreement"). Unless otherwise specified in your Service Agreement:
- Fee Structure: All fees, pricing, billing cycles, and payment terms shall be as set forth in your Service Agreement. Fees may include subscription fees, platform access fees, performance-based fees, data fees, execution fees, and any other charges specified in the Service Agreement.
- Fee Changes: Kairos Alpha reserves the right to modify its fee structure, pricing, or billing terms at any time. We will provide you with at least thirty (30) days' prior written notice of any material changes to fees that affect your account. Such notice may be provided via email, through the platform, or by posting an update to our pricing page. Your continued use of the Services after the effective date of a fee change constitutes your acceptance of the new fees.
- Non-Refundable Fees: Unless otherwise expressly stated in your Service Agreement, all fees paid are non-refundable. This includes, without limitation, subscription fees, setup fees, and any fees for periods during which your account was active, regardless of actual usage. No refunds or credits will be issued for partial subscription periods, unused features, or early termination by the User.
- Late Payments: Any amounts not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Kairos Alpha reserves the right to suspend or terminate your access to the Services for any overdue payments.
- Taxes: All fees are exclusive of applicable taxes, duties, and governmental charges. You are responsible for paying all applicable sales tax, value-added tax, withholding tax, and any other taxes or charges imposed by any governmental authority in connection with your use of the Services, excluding taxes based on Kairos Alpha's net income.
9. Prohibited Conduct
You agree that you will not, and will not assist, enable, or permit any third party to, engage in any of the following prohibited activities in connection with the Services:
- Market Manipulation: Use the Services to engage in any form of market manipulation, including but not limited to spoofing, layering, wash trading, front-running, pump-and-dump schemes, or any other activity that artificially influences or attempts to artificially influence market prices, volumes, or conditions in violation of applicable securities laws and regulations.
- Unauthorized Scraping and Data Extraction: Scrape, crawl, harvest, extract, copy, or otherwise collect data, content, or information from the Services through automated means (including bots, spiders, scrapers, or similar technologies) without the express prior written consent of Kairos Alpha.
- Reverse Engineering: Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to discover or derive the source code, algorithms, model weights, training data, architecture, or any other proprietary components of the Services or the AI systems.
- Credential Sharing: Share, transfer, sell, lease, or otherwise disclose your account credentials, API keys, authentication tokens, or access to the Services to any unauthorized third party. Each account and set of credentials is for the sole use of the registered account holder.
- Interference: Interfere with, disrupt, or attempt to gain unauthorized access to the Services, servers, networks, or systems connected to the Services, including through the use of viruses, malware, denial-of-service attacks, or other harmful code or activities.
- Circumvention: Circumvent, disable, or otherwise interfere with any security features, access controls, usage limits, or technical restrictions of the Services.
- Illegal Activity: Use the Services for any purpose that is unlawful, fraudulent, deceptive, or in violation of any applicable laws, regulations, or sanctions, including but not limited to insider trading, money laundering, terrorist financing, or sanctions evasion.
- Unauthorized Redistribution: Redistribute, resell, republish, or make available any signals, data, analytics, research, or other output generated by the Services to any third party without the express prior written consent of Kairos Alpha.
Violation of any prohibited conduct provision may result in immediate suspension or termination of your account, forfeiture of any prepaid fees, and referral to appropriate law enforcement and regulatory authorities. Kairos Alpha reserves the right to investigate and take appropriate legal action against any person or entity that violates these prohibitions.
10. Risk Disclosures
Trading and investing in financial markets carries substantial risk. You should carefully consider the following risk disclosures before using the Services:
- Substantial Risk of Loss: All trading and investing activities involve substantial risk of financial loss, including the potential loss of your entire invested capital. The use of AI-powered trading systems does not eliminate or reduce this fundamental risk. You should not invest money that you cannot afford to lose. Trading in securities, derivatives, foreign exchange, commodities, and other financial instruments carries a high level of risk and may not be suitable for all investors.
- Leverage Risk: If you engage in leveraged trading or use margin, you may sustain losses in excess of your initial investment. Leverage magnifies both potential gains and potential losses, and small market movements can result in large, rapid losses that may exceed your account balance. You may be required to deposit additional funds on short notice to maintain your positions, and failure to do so may result in forced liquidation at a loss.
- Technology Failures: AI systems, software platforms, hardware infrastructure, internet connections, data feeds, and electronic trading systems are subject to disruptions, failures, errors, delays, and malfunctions. Such technology failures may result in the inability to execute trades, delayed order execution, incorrect pricing, data loss, erroneous signals, or other adverse outcomes. Kairos Alpha does not guarantee uninterrupted, error-free operation of the Services.
- Liquidity Risk: Financial markets may experience periods of reduced liquidity, wide bid-ask spreads, or illiquidity, particularly during periods of market stress, after-hours trading, or in less liquid instruments. Such conditions may make it difficult or impossible to execute trades at desired prices, and may result in significant slippage or the inability to close positions.
- Counterparty Risk: Trading through brokers, exchanges, clearinghouses, and other financial intermediaries exposes you to counterparty risk. The failure, insolvency, or default of a counterparty may result in the loss of your assets or the inability to access your funds.
- Regulatory Risk: Financial markets and trading activities are subject to extensive and evolving regulation across multiple jurisdictions. Changes in laws, regulations, tax policies, or governmental actions may adversely affect the value of your investments, the availability of certain trading strategies, or your ability to use the Services. Regulatory actions may result in restrictions on trading, forced liquidation of positions, or other adverse outcomes.
- Not FDIC Insured: Investments and assets managed through or analyzed by the Services are not insured by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other federal or state governmental agency. There is no government guarantee against loss. Your investments may lose value, including a total loss of principal.
You acknowledge that you have read and understand the foregoing risk disclosures and that you accept the risks associated with trading and investing. You are encouraged to seek advice from an independent financial advisor before using the Services.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KAIROS ALPHA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SUPPLIERS (COLLECTIVELY, THE "KAIROS PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, TRADING LOSSES, MISSED TRADING OPPORTUNITIES, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of or inability to use the Services
- Any trading or investment decisions made based on information, signals, analytics, or output provided by the Services
- Any unauthorized access to or alteration of your data, account, or transmissions
- Any errors, inaccuracies, or omissions in the Services or any content, data, or information provided through the Services
- System failures, downtime, data loss, or technology malfunctions
- Any conduct or content of any third party on or related to the Services
REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE KAIROS PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE KAIROS PARTIES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO KAIROS ALPHA DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES TO KAIROS ALPHA, THE KAIROS PARTIES' TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Kairos Alpha and the Kairos Parties from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:
- Your access to or use of the Services, including any trading or investment activity conducted through the platform
- Your violation of these Terms or any applicable law, regulation, or third-party right
- Your trading or investment decisions, whether or not made in reliance on the Services
- Any content, data, or information you provide, submit, or transmit through the Services
- Your negligence, willful misconduct, or fraud
- Any dispute between you and any third party arising from your use of the Services
Kairos Alpha reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You shall not settle any claim without the prior written consent of Kairos Alpha.
13. Termination
Either party may terminate the use of the Services as follows:
- Termination by You: You may terminate your account and discontinue your use of the Services at any time by contacting us at legal@kairosalpha.com or through the account settings in the platform. Termination by you does not entitle you to a refund of any prepaid fees unless expressly provided in your Service Agreement.
- Termination by Kairos Alpha: Kairos Alpha may terminate or suspend your account and access to the Services at any time, with or without cause, and with or without notice, including but not limited to situations where we reasonably believe that you have violated these Terms or engaged in conduct that could harm Kairos Alpha, the Services, or other users.
- Suspension for Violations: Kairos Alpha reserves the right to immediately suspend your access to the Services, without prior notice, if we reasonably suspect that you have engaged in prohibited conduct, violated applicable laws or regulations, compromised the security of the Services, or if continued access poses a risk to Kairos Alpha or its users. During any suspension, your obligations under these Terms remain in full force and effect.
Upon termination, your right to access and use the Services will immediately cease. Kairos Alpha may, at its sole discretion, retain or delete your data in accordance with our Privacy Policy and applicable data retention requirements. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, dispute resolution, and any accrued payment obligations.
14. Dispute Resolution
Governing Law: These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of laws principles.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Kairos Alpha (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures or, for claims under $250,000, the JAMS Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator with expertise in financial technology and commercial disputes. The arbitration shall take place in New York, New York, or at another location mutually agreed upon by the parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver: YOU AND KAIROS ALPHA AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR MULTI-PARTY ACTION OR PROCEEDING. THE ARBITRATOR SHALL NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND SHALL NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the Dispute shall be resolved in a court of competent jurisdiction in New York, New York.
Limitation Period: Any Dispute must be filed within one (1) year after the date the party asserting the Dispute first knew or reasonably should have known of the facts giving rise to the Dispute. Failure to file within this period constitutes a permanent waiver of such Dispute.
15. Modifications
Kairos Alpha reserves the right to modify, amend, update, or replace these Terms at any time at our sole discretion. When we make material changes to these Terms, we will provide notice through one or more of the following methods:
- Posting the updated Terms on the Site with a revised "Last Updated" date
- Sending an email notification to the address associated with your account
- Displaying a prominent notice within the platform or on the Site
Your continued use of the Services after the effective date of any modifications to these Terms constitutes your acceptance of and agreement to be bound by the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services immediately. It is your responsibility to review these Terms periodically for any changes. Material changes will not apply retroactively and will become effective no sooner than fourteen (14) days after posting, unless the changes are required by law or relate to new features or functionality of the Services.
16. Miscellaneous
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or an arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.
- Waiver: The failure of Kairos Alpha to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of Kairos Alpha. A waiver of any right or provision on one occasion shall not be deemed a waiver of such right or provision on any subsequent occasion.
- Entire Agreement: These Terms, together with the Privacy Policy, your Service Agreement, and any other agreements or policies referenced herein, constitute the entire agreement between you and Kairos Alpha with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
- Assignment: You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Kairos Alpha. Kairos Alpha may assign or transfer these Terms, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, reorganization, or sale of assets.
- Force Majeure: Kairos Alpha shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, exchange or market rulings, power failures, internet outages, cyberattacks, or other force majeure events.
- Notices: All notices required or permitted under these Terms shall be in writing and shall be deemed given when delivered personally, sent by confirmed email, or sent by nationally recognized overnight courier to the applicable party's address on file. Notices to Kairos Alpha must be sent to legal@kairosalpha.com.
